Member Rules
Membership of KayaRedfordSuccessCoaching is based on adherence to our terms of service. We reserve the right to deny service to any member or prospective member at any time if they do not comply.
1. No Soliciting. KayaRedfordSuccessCoaching is for connecting and development. Please refrain from direct selling to the member base. KayaRedfordSuccessCoaching has a forum for Business Services where such offers are best resided.
2. No Misrepresentation. Members warrant that they are who they claim to be and have the rights to their respective proposals.
Legal Disclaimer
This is the Terms of Service agreement for KayaRedfordSuccessCoaching. All KayaRedfordSuccessCoaching users must read and accept every aspect of this and any other agreement or policy provided by KayaRedfordSuccessCoaching. If you do not agree to these terms, you are prohibited from using the KayaRedfordSuccessCoaching or any affiliated services. Moreover, KayaRedfordSuccessCoaching reserves the right to modify this agreement at any time. Your use of the KayaRedfordSuccessCoaching and affiliated services indicates your unconditional acceptance of all changes made to this agreement at any point.
Securities Solicitation Policy
By posting on this site Member represents and agrees that nothing contained herein constitutes an offer to sell or solicitation of an offer to buy any security, and that if any offer or sale of securities is deemed to have occurred by reason of a posting or listing on this Site such offer and sale is made solely to institutional or accredited investors as those terms are applicable under state and federal securities laws. Member agrees that KayaRedfordSuccessCoaching provides no services or assistance in connection with any funding request except to provide an efficient means of identifying the Member to potential funding sources and for allowing direct contact between a Member and potential funding sources.
Accredited Investor Affirmation
If you list yourself or company as an accredited investor on KayaRedfordSuccessCoaching, you affirmatively represents that he/she/you/it is subject to and will comply with the applicable provisions of securities laws and regulations, including any filing requirement, of each state where registered as accredited.
Trademark Infringement
All names and logos associated with KayaRedfordSuccessCoaching are company trademarks. You may not use any KayaRedfordSuccessCoaching trademark in any manner without written consent. Furthermore, users may not infringe on any patents, trademarks, or other copyrights of KayaRedfordSuccessCoaching users or any other parties whatsoever.

KayaRedfordSuccessCoaching allows professionals to connect with small businesses, entrepreneurs, investors, customers, vendors, employees and advisors.
Conditions for Membership
KayaRedfordSuccessCoaching or any affiliated services may not be used by persons under the age of 18.
Terms of Information Use
KayaRedfordSuccessCoaching is authorized to use any information that is provided by KayaRedfordSuccessCoaching users or affiliates. This information is used at no charge from the users and may be used for any purpose associated with the KayaRedfordSuccessCoaching, or any affiliates. All information that a user posts on the KayaRedfordSuccessCoaching is completely the user's responsibility. KayaRedfordSuccessCoaching is not responsible for any misrepresentation of facts or other errors in this content. KayaRedfordSuccessCoaching strives to ensure the integrity of the information on the KayaRedfordSuccessCoaching, but cannot guarantee the truthfulness of the information that each user provides through the KayaRedfordSuccessCoaching. KayaRedfordSuccessCoaching reserves the right to release any user information or other information if required to do so by law.
KayaRedfordSuccessCoaching Contact System
KayaRedfordSuccessCoaching has created a proprietary messaging system for users to communicate with one another and for KayaRedfordSuccessCoaching to contact these users. Additionally, KayaRedfordSuccessCoaching may communicate with its users via email or other forms of contact in the normal course of business.
Confidential Information Exchange
All information submitted to KayaRedfordSuccessCoaching, including messages, will become property of KayaRedfordSuccessCoaching. Any investor or entrepreneur on our site requesting to contact any other investor or entrepreneur on our site, does so at their own risk and is solely responsible for conducting any legal, accounting, or due diligence review. Please do not send any confidential information through KayaRedfordSuccessCoaching..
Use of KayaRedfordSuccessCoaching
Your use of KayaRedfordSuccessCoaching must follow the guidelines set forth in this agreement. KayaRedfordSuccessCoaching may refuse or revoke service or other offerings without prior notice to any user or potential user for any reason. Users must obey all applicable local, national, and international laws associated with the use of KayaRedfordSuccessCoaching and any affiliated services.
Users take complete responsibility for all activities that occur under their KayaRedfordSuccessCoaching account with or without their prior knowledge or consent. In the event that you discover any unauthorized use of your account, you must immediately notify KayaRedfordSuccessCoaching so that the proper actions can be taken.
User Agreement
Users agree with KayaRedfordSuccessCoaching NOT to use KayaRedfordSuccessCoaching or any services provided by KayaRedfordSuccessCoaching or its affiliates to:
1. Commit ANY unlawful acts
2. Post or "spam" other users on the system with unsolicited advertising or other communications
3. Harm KayaRedfordSuccessCoaching or any related systems and infrastructure in any way through any means
4. Collect or resell data containing other users' profile or personal information or any other information on KayaRedfordSuccessCoaching
5. Harass other users or anyone else in any way
6. Misrepresent themselves in any way through profile postings, messages sent to KayaRedfordSuccessCoaching or other users, or any other method
7. Commit any actions considered to be unethical or to abuse KayaRedfordSuccessCoaching system, other associated services, or users
8. Attempt to deliberately solicit members to leave KayaRedfordSuccessCoaching in favor of another related or competitive service
Guidelines
KayaRedfordSuccessCoaching has set in place a listing of guidelines regarding the use of the KayaRedfordSuccessCoaching or any affiliated services. You agree that KayaRedfordSuccessCoaching may immediately suspend or terminate your KayaRedfordSuccessCoaching account and all access to KayaRedfordSuccessCoaching and other services without prior notice. KayaRedfordSuccessCoaching is not liable for any damages associated with the suspension or termination of a user's account.
Extent of Liability
By accepting this Terms of Service agreement, you agree that KayaRedfordSuccessCoaching and any persons or entities associated or affiliated with KayaRedfordSuccessCoaching are not responsible for any damages to any party as a result of using the services provided or transacting business with KayaRedfordSuccessCoaching or affiliates We hold no responsibility for ANY damages caused for any reason to users of our services or to other parties.
Membership on KayaRedfordSuccessCoaching does not constitute an offer to sell or the solicitation by KayaRedfordSuccessCoaching of an offer to buy any investment interest in the business ventures of members. The actual sale or purchase of an investment interest shall be a private and independent transaction between the members without any participation by KayaRedfordSuccessCoaching. In no event will KayaRedfordSuccessCoaching be liable for any loss of earnings or any other commercial damages, losses or expenses arising out of or in correlation with an independent transaction, agreement, or interaction between site members.

The following terms and conditions govern all use of KayaRedfordSuccessCoachingProducts (defined below).
BY CLICKING TO AGREE OR BY USING THE KayaRedfordSuccessCoachingPRODUCTS, YOU SIGNIFY ELECTRONICALLY THAT YOU AGREE TO ABIDE BY THE FOLLOWING TERMS (the "AGREEMENT"). You understand that this agreement has the same effect as a contract in writing. If you do not agree, you may not use the KayaRedfordSuccessCoachingProducts.
1. About KayaRedfordSuccessCoaching.
You may use the KayaRedfordSuccessCoachingProducts only on the condition that you will abide by the following terms.
2. Definitions.
For convenience, we will use the following definitions for this Agreement:
"KayaRedfordSuccessCoachingProduct(s)" means (a) KayaRedfordSuccessCoaching's website(s) and online properties, and (b) products to which links are provided from the website or emails from KayaRedfordSuccessCoaching
"You" means any person or entity who uses the KayaRedfordSuccessCoachingProducts.
"Your Site" means the Web sites owned and/or controlled by you that will possibly use KayaRedfordSuccessCoachingProducts or services.
3. About this Agreement.
We may modify or replace any part of this Agreement at any time in our sole discretion. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the KayaRedfordSuccessCoachingProducts after we post or notify you about any changes to this Agreement constitutes acceptance of those changes. Certain applications and/or features (including, the release of new tools and resources) may be subject to separate or supplemental terms that will apply to you.
4. Registration.
When you use or register to use the KayaRedfordSuccessCoaching Products, you represent that you are legally capable of entering into a binding contract. If You register to use any of the KayaRedfordSuccessCoachingProducts, You agree to provide KayaRedfordSuccessCoaching with true, accurate, current and complete information about yourself and that you will keep this information up to date. You may be required to obtain log-in and password credentials issued by us or one of our affiliates ("User IDs"). Registration for User IDs may be subject to separate terms and conditions, which you understand and agree will govern your use of such User IDs when you access KayaRedfordSuccessCoachingProducts or other services offered by our affiliates.
5. Privacy Policy.
You consent to the information practices disclosed in our Privacy Policy located at http://KayaRedfordSuccessCoaching.com/public/privacy-policy when you register with us and/or use the KayaRedfordSuccessCoachingProducts.
Your Site shall not:
* Contain obscene, profane, threatening, defamatory, or hateful Content, user screen names, room names, topic names, welcome messages, or comments in any area of the KayaRedfordSuccessCoachingProducts;
* solicit credit card numbers for goods or KayaRedfordSuccessCoachingProducts, nor engage in any commercial activity on the KayaRedfordSuccessCoachingProducts which KayaRedfordSuccessCoaching has not expressly and previously authorized;
* solicit for advertisers or sponsors;
* display advertising or sponsorships of any kind on KayaRedfordSuccessCoaching message boards or in other KayaRedfordSuccessCoachingProducts areas, including banners that are generated by banner or link exchange KayaRedfordSuccessCoachingProducts, with the sole exception of those placed there by KayaRedfordSuccessCoaching or its affiliates;
* interfere with the use and enjoyment of the KayaRedfordSuccessCoachingProducts by other users, or impede the ability of KayaRedfordSuccessCoaching employees to perform their duties;
* transmit "junk mail", "spam", "chain letters", or unsolicited mass distribution of email or bulletin board postings;
* use any information or material on this site for marketing or solicitation;
or
* install, integrate or use the KayaRedfordSuccessCoaching Products on Your Site that would violate any the foregoing restrictions.
9. Your Responsibility
You and your users must comply with all requirements, procedures, policies and regulations posted on KayaRedfordSuccessCoaching's website or the KayaRedfordSuccessCoachingProducts by KayaRedfordSuccessCoaching from time to time and/or any networks connected to the KayaRedfordSuccessCoaching Products. You shall supervise and be solely and fully responsible for (i) all activities that occur under your password or account, including, but not limited to, all usage by users, employees or minors, (ii) all activities and conduct that occur through Your Site, and (iii) maintaining the confidentiality of your account, password or any personally identifiable information. You agree that you are responsible for your own communications that you make through the KayaRedfordSuccessCoaching Products and those of your users and for any consequences of such communications. You understand and agree that KayaRedfordSuccessCoaching reserves the right, but does not have the obligation, to use whatever technical and legal remedies available to it to prevent abuses to KayaRedfordSuccessCoaching's systems and network or violations or to enforce this Agreement. KayaRedfordSuccessCoaching reserves the right to investigate or monitor in its own discretion and by any means it deems appropriate (a) your compliance with this Agreement and (b) any activity or conduct that KayaRedfordSuccessCoaching believes violates the terms of this Agreement. In addition to any other rights that KayaRedfordSuccessCoaching may have in this section and in the Agreement, KayaRedfordSuccessCoaching reserves the right to request an audit to investigate compliance with this Agreement.
11. End User Terms.
You shall require that users of Your Site agree to an enforceable end-user agreement (an "End User Agreement") that is protective of us and contains at least the following specific, minimum terms: (i) you are responsible for Your Site; (ii) the KayaRedfordSuccessCoaching Products (including any application code) are provided as-is, without any warranties, and that you expressly disclaim all implied or express warranties, including the implied warranties of merchantability, accuracy, fitness for a particular purpose and non-infringement for all applications (including the KayaRedfordSuccessCoaching Products) on Your Site; (iii) a prohibition against modifying or creating derivative works of KayaRedfordSuccessCoaching Products or any portion of our code; (iv) a prohibition against decompiling, reverse engineering, disassembling, and otherwise reducing KayaRedfordSuccessCoaching Products or any portion of our code to a human-perceivable form, to the full extent allowed by law; (v) a provision indicating that ownership of the KayaRedfordSuccessCoaching Products belong to us; (vi) a disclaimer of indirect, special, incidental, punitive, and consequential damages; (vii) a complete and accurate disclosure to end users of the privacy practices and policy applicable to Your Site, and, (viii) such other terms as may be required by us for a specific component of a KayaRedfordSuccessCoaching Product.
12. Site Privacy Policy.
You shall develop a privacy policy and incorporate the policy into your End User Agreement for Your Site. The privacy policy must follow generally accepted industry standards and must be easily accessible to your end users during and after installation. You shall, at a minimum, notify the end users of Your Site that: (i) you are responsible for any personal or other data collected by your product or on your web site or both; and (ii) that certain components of the KayaRedfordSuccessCoaching Products may also collect and store personal or other data and, accordingly, the end users should check the privacy policy on the applicable web site for more information.
13. Updates.
KayaRedfordSuccessCoaching reserves the right, but has no obligation, to update or enhance the KayaRedfordSuccessCoaching Materials or KayaRedfordSuccessCoaching Products (each a "Modification") at any time, in KayaRedfordSuccessCoaching's sole discretion.
14. Advertisements.
You understand and agree that part of KayaRedfordSuccessCoaching Products are supported by advertisements. In consideration for your right to use the KayaRedfordSuccessCoaching Products, you agree KayaRedfordSuccessCoaching shall have the exclusive right to sell, serve and display advertisements within the KayaRedfordSuccessCoaching Products displayed within Your Site and to retain all revenue therefrom as agreed with you.
15. Responsibility of Website Visitors.
You agree that KayaRedfordSuccessCoaching is not responsible or liable for any Content provided through the KayaRedfordSuccessCoaching Products. KayaRedfordSuccessCoaching has no duty to pre-screen Content. KayaRedfordSuccessCoaching does not represent or imply that it endorses the material displayed on the KayaRedfordSuccessCoaching Product, or that it believes such material to be accurate, useful or suitable for each and every user. KayaRedfordSuccessCoaching makes no representations about the reliability or accuracy of the Content.
16. Content Posted on Other Websites.
KayaRedfordSuccessCoaching may include links to third party sites. These sites are not under KayaRedfordSuccessCoaching's control and, therefore, KayaRedfordSuccessCoaching is not responsible for these sites or their use. KayaRedfordSuccessCoaching has no obligation to monitor such sites. By linking to a website or webpage, KayaRedfordSuccessCoaching does not represent or imply that it endorses such website or webpage or that the Content on such sites are accurate or reliable.
18. Ownership.
KayaRedfordSuccessCoaching owns all right, title and interest in and to (i) the KayaRedfordSuccessCoaching brand Materials, (ii) the look and feel of the KayaRedfordSuccessCoaching, (iii) the KayaRedfordSuccessCoaching Attribution Links, (iv) the KayaRedfordSuccessCoaching Products, and (v) KayaRedfordSuccessCoaching's Marks, including any derivative works. Except as stated in this Agreement, no right, property, license, permission or interest of any kind in the KayaRedfordSuccessCoaching Materials, KayaRedfordSuccessCoaching Products, KayaRedfordSuccessCoaching Attribution Links or KayaRedfordSuccessCoaching Marks is intended to be given or transferred to or acquired by you by this Agreement. You are authorized to use such items only to the extent expressly authorized in this Agreement.
19. Data.
a. Collection of Data. Any information gathered by you regarding the use of the KayaRedfordSuccessCoaching Materials or KayaRedfordSuccessCoaching Products shall be limited to information reasonably necessary to perform your obligations under this Agreement or activities explicitly permitted hereunder.
b. User Data. For purposes of this Section, "User Data" means information collected from end-users of either Party's products, software or website, including personally identifiable information and any user-level data that can be connected to personally identifiable information relating to any user of Your Site and/or end-user of the KayaRedfordSuccessCoaching Products. You shall own all User Data that you collect from such end-users. KayaRedfordSuccessCoaching shall own all User Data that it collects from such end-users. Where both Parties collect information from the same end-user in a manner not violating this Agreement, both Parties shall own such information, without any duty to the other Party. Where a Party collects such information from an end-user of an area, feature, module or page it hosts, such Party shall determine the appropriate privacy disclosures relating to the collection and use of such User Data. Each Party shall comply with its own privacy policy in collection and use of any User Data, and each Party shall ensure that its privacy policy and placement of such policy complies with applicable law.
20. Copyright Infringement.
KayaRedfordSuccessCoaching respect the intellectual property of others. If you believe that your work has been copied and is accessible on KayaRedfordSuccessCoaching Products in a way that constitutes copyright infringement, please click here for instructions on how to contact us to report possible copyright infringement.
21. Representations and Disclaimers.
You represent and warrant that (i) your use of the KayaRedfordSuccessCoaching Products and KayaRedfordSuccessCoaching Materials will be in strict accordance with the KayaRedfordSuccessCoaching Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States of America or the country in which you reside) and (ii) your use of the KayaRedfordSuccessCoaching Products will not infringe or misappropriate the intellectual property rights of any third party.
The KayaRedfordSuccessCoaching PRODUCTS are provided "as is." KayaRedfordSuccessCoaching and its suppliers, licensors and distributors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. Neither KayaRedfordSuccessCoaching nor its suppliers, licensors or distributors makes any warranty that the KayaRedfordSuccessCoaching products will be error free or that access thereto will be continuous or uninterrupted. KayaRedfordSuccessCoaching DOES NOT GUARANTEE THAT THE KayaRedfordSuccessCoaching PRODUCTS WILL MEET YOUR REQUIREMENTS, ARE ERROR-FREE, RELIABLE, WITHOUT INTERRUPTION OR AVAILABLE AT ALL TIMES. KayaRedfordSuccessCoaching DOES NOT GUARANTEE THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF KayaRedfordSuccessCoaching PRODUCTS OR RELATED CONTENT, WILL BE EFFECTIVE, RELIABLE, ACCURATE OR MEET YOUR REQUIREMENTS. YOUR RELIANCE ON ANY CONTENT MADE AVAILABLE THROUGH KayaRedfordSuccessCoaching PRODUCTS IS AT YOUR OWN RISK.
22. LIMITATION OF LIABILITY.
In no event will KayaRedfordSuccessCoaching, or its suppliers, licensors OR DISTRIBUTORS, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any indirect, special, incidental, exemplary, or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) THE INABILITY TO USE, OR RELIANCE UPON THE KayaRedfordSuccessCoaching. THESE EXCLUSIONS APPLY TO ANY CLAIMS FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF KayaRedfordSuccessCoaching KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, KayaRedfordSuccessCoaching'S LIABILITY, AND THE LIABILITY OF ITS PARENT, SUPPLIERS AND DISTRIBUTORS, SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.
23. Indemnification.
You agree to indemnify and hold harmless KayaRedfordSuccessCoaching, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of the KayaRedfordSuccessCoaching Products, including but not limited to out of your violation this Agreement.
24. Termination.
KayaRedfordSuccessCoaching may terminate this Agreement at any time for any reason. Upon any termination or expiration of this Agreement, KayaRedfordSuccessCoaching will cease providing the services associated with the KayaRedfordSuccessCoaching Products, and you will delete all copies of KayaRedfordSuccessCoaching Materials from Your Site.
25. Export Control.
You agree to comply with all export and import laws and restrictions and regulations of any United States or foreign agency or authority, and not to export or re-export the KayaRedfordSuccessCoaching Materials or any direct product thereof in violation of any such restrictions, laws or regulations, or without all necessary approvals.
26. Access.
You must provide at your own expense the equipment and Internet connections that you will need to access and use the KayaRedfordSuccessCoaching Products and KayaRedfordSuccessCoaching Materials. If you elect to use your wireless applications (such as cell phones, wifi connections) with KayaRedfordSuccessCoaching Products, your wireless carrier may charge standard fees for alerts, text messaging (including receiving/sending instant messages and e-mail), web browsing and other KayaRedfordSuccessCoaching Products that require the use of airtime and wireless data KayaRedfordSuccessCoaching Products. You are responsible for checking with your wireless carrier about access fees. If you register to use any KayaRedfordSuccessCoaching mobile applications, you agree that KayaRedfordSuccessCoaching may communicate with you regarding KayaRedfordSuccessCoaching Products by SMS, MMS, text message or other electronic means to your mobile device and that certain information about your usage of the mobile KayaRedfordSuccessCoaching Products may be communicated to us.
27. International use.
KayaRedfordSuccessCoaching makes no representation that the KayaRedfordSuccessCoaching Products are appropriate or available for use in the country, geographic area or jurisdiction where you are located. KayaRedfordSuccessCoaching Products may not be accessed or used where prohibited by local law. You are responsible for compliance with local laws when you access and use KayaRedfordSuccessCoaching Products.
29. Electronic Notices.
You agree to receive all required notices ("Notices") from KayaRedfordSuccessCoaching electronically. KayaRedfordSuccessCoaching MAY PROVIDE NOTICES TO YOU ELECTRONICALLY (1) VIA THE E-MAIL YOU HAVE PROVIDED TO KayaRedfordSuccessCoaching OR (2) BY POSTING THE NOTICE ON A WEBSITE DESIGNATED BY US FOR THIS PURPOSE. If you do not agree, you may not use the KayaRedfordSuccessCoaching Products.
30. Miscellaneous.
The Parties to the Agreement are independent contractors. Neither Party is an agent, representative or partner of the other Party. This Agreement supersedes all prior agreements, written or oral, between the Parties relating to the subject matter of this Agreement. This Agreement may not be modified, changed, or discharged and no rights may be waived, in whole or in part, except by an agreement in writing signed by the Parties. This Agreement will be binding upon and inure to the benefit of the Parties and their respective heirs, successors and assigns, provided that each Party shall not assign this Agreement or any right, interest or benefit under this Agreement without the prior written consent of the other Party; except that KayaRedfordSuccessCoaching may assign this Agreement pursuant to a change of control of KayaRedfordSuccessCoaching, merger, acquisition or sale of all or substantially all of the assets of KayaRedfordSuccessCoaching. This Agreement shall be construed and interpreted in accordance with the laws of the State of California, without giving effect to its choice of law principles. You agree that any breach of this Agreement may cause KayaRedfordSuccessCoaching irreparable injury and, thus, in addition to other remedies which may be available, KayaRedfordSuccessCoaching shall have the right to injunctive and equitable relief.
